MDT Home Health Care Agency, Inc. POLICY ON GOVERNING BODY POLICY: The agency is a freestanding private, proprietary agency. Our governing body (or designated persons so functioning) will assume full legal authority and responsibility for the agency’s overall management and operation, the provision of all home health services, fiscal operations, review of the agency’s budget and its operational plans, and its quality assessment and performance improvement program. The affairs and business of the agency are the responsibility of the Board of Directors whose members consist of the owners of the Corporation (Directors), which term in office will be as length as they continue as Owners/Directors of the corporation, and any other executive staff that may be named as member with not ownership interest. The functioning of the Board and the operations of the organization are governed by agency bylaws. The Board of Directors has the ultimate responsibility and legal authority for home health management and quality of care. General administrative and fiscal policy and subsequent revisions are developed and/or approved by the Board of Directors. Members of the Board of Directors fulfill their duties as evidenced by the following: Attendance at Board meetings (minutes of all official meetings of the governing body are retained for a minimum of five (5) years). Must meet at least annually (beginning of each year) to discuss amend others: Annual Agency Evaluation, Financial Reports and Budget, Industry Regulations and standards, Discussion of Conflict of Interest, Mission Statement, Budget oversight, Evaluating the chief executive officer, Evaluation the overall home care organizational performance annually, annual review of the policies and procedures. The require quorum is 100 % of the members (Owners/Directors of corporation) More often meetings during the year must be needed if any of the following occur: to approve any key staff changes, members of any committee, any change in regulations, demands of daily business needs that mean any decision, discussion of any new business, new contracts or new programs, application for accreditation, etc. · All new members of the Board of Directors are oriented to the home health program. The orientation includes a review of Board responsibility in the Performance Improvement program, legal authority and responsibilities for the operation of the Agency. (Refer to Board of Directors Responsibilities.) · The home health organization is directed by a Administrator who is appointed by and responsible to the governing body. The Administrator has the authority and responsibility for the following duties: Implementing Board policies, Managing the corporation, Planning and implementing ongoing community needs assessment, Overall fiscal management, Planning, developing, administering, and evaluating agency programs, Participating with the community organizations to meet community needs, Pertinent matters are presented to the governing body on a timely basis, The authority and responsibility for planning and operations of the agency are delegated to the Administrator. Also the administrator must: (i) Be appointed by and report to the governing body; (ii) Be responsible for all day - to - day operations of the HHA; (iii) Ensure that a clinical manager is available during all operating hours; (iv) Ensure that the HHA employs qualified personnel, including assuring the development of personnel qualifications and policies. It is the policy of MDT Home Health Care Agency, Inc. that the President of the Corporation, that own the Agency shall act as the head of the governing body of the agency.
