MDT Home Health Care Agency, Inc. The Administrator (appointed by the Governing Body) may appoint key employees or other persons into the decision making process as he or she may deem fit. In particular, he or she shall liaise with the Administrator, Physician Consultant, Accountant, in making decisions, especially in regard to matters that relate to the respective specialties of those key people. But in every case, it shall be the direct responsibility of the Director to act as the governing body. The governing body of this agency will appoint an Administrator, arrange for professional services, adopt and review written policies at least once every year, and oversee the management and fiscal affairs of the agency. We will furnish the name and address of our Administrator and other staff members to the State Medicaid/Medicare, or Insurance programs. THE RESPONSIBILITIES OF THE BOARD OF DIRECTORS, OWNERS INCLUDE THE FOLLOWING: • Decision making • Appoints a qualified administrator • Arranges for professional advice • Reviews the annual program evaluation, evaluation of organizational performance in relation to its philosophy and purpose • Adopts and periodically reviews written bylaws or equivalent • Establishes or approves written policies and procedures governing operations, and consistent with organization philosophy and purpose • Human resource management • Quality assessment and performance improvement program (QAPI program) • Community needs planning, if applicable • Oversight of the management and fiscal affairs of the Agency • Holding management accountable for fiscal solvency of the organization and adequacy of financial reserves • Selection and evaluation of the Administrator, and designates QAPI group membership. • Interpretation of the organization’s philosophy and purpose to the community • Monitoring organization efforts to identify and address consumer needs/concerns • Planning for future direction • Reviewing and revising articles of incorporation and bylaws as needed in light of changes to the purpose and approach of the organization • Minutes of all governing body meetings reflect actions taken, signed and retained for at least 5 years. Although our governing bodies/owners may delegate authority for some of these functions to individual personnel members or to an QAPI committee, the ultimate responsibility continues to rest with the governing body/owner of our Agency. BOARD OF DIRECTORS RECRUITMENT PROCEDURE: · The Development Committee will review the current composition of the membership to identify gaps in representation using the following guidelines: · Representation from areas that include health, public relations, law, personnel administration, finance, fund raising, insurance, marketing/sales/advertising, business, and consumers · A mix of gender, age, race/ethnicity, and geography · The Development Committee determines the representation needs and informs Board members of those needs. It accepts names of suggested candidates by Board members and/or staff on the Suggestions for Board of Directors form. · The Development Committee screens candidates using the Suggestions for Board of Home Health Agency Policies A-26
